This Supply of Service Agreement ("Agreement") is made and entered into by and between:
Iskra IT Solutions Limited, (Hereinafter referred to as "Provider")
AND
The Client, (Hereinafter referred to as "Client")
Collectively referred to as the "Parties."

1. Purpose

This Agreement outlines the basic terms under which the Provider will supply services to the Client (the “Services”). Specific deliverables, performance metrics, payment details, and other conditions will be detailed in a separate Service Level Agreement (SLA) or Statement of Work (SOW) that will be executed by both Parties.

2. Scope of Services

The Provider agrees to deliver the Services as agreed upon in the SLA or SOW, which may include, but are not limited to:

  • IT hardware services
  • IT consulting services
  • IT project management services

3. Term

The effective date of this Agreement shall be agreed upon by both parties and shall continue until terminated by either Party in accordance with the termination provisions set forth in this Agreement or the applicable SLA or SOW.

4. Invoicing and Payment Terms

  • The Client agrees to pay for the Services as outlined in the SLA or SOW.
  • Invoices will be issued at a frequency to be discussed between parties and outlined in the SLA or SOW.
  • Payments are due upon receipt of the invoice unless otherwise specified in the SLA or SOW.
  • Any late payments may incur a fee to be specified in the SLA.

5. Confidentiality

Both Parties agree to maintain the confidentiality of any confidential information shared during the performance of this Agreement. Neither Party will disclose any confidential information to third parties without the prior written consent of the other Party.

6. Intellectual Property

Any intellectual property created or developed during the performance of the Services, including deliverables and materials produced, will remain the property of the Provider unless otherwise agreed upon in writing in the SLA or SOW.

7. Limitation of Liability

To the fullest extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages.

8. Termination

This Agreement may be terminated by either Party upon written notice to the other Party. Additionally:

  • The Provider may terminate this Agreement immediately if the Client fails to make timely payments or breaches any other terms of this Agreement or the SLA or SOW.
  • The Client may terminate this Agreement immediately if the Provider fails to perform the Services in accordance with the agreed specifications in the SLA or SOW.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning the subject matter herein and supersedes all prior agreements, understandings, and representations, whether oral or written, relating to such subject matter. Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
